Article 1 – Definitions

1.1. In these terms and conditions, the following definitions apply:

• Narrowcast: the digital reception platform of Wiex Agency B.V., registered with the Dutch Chamber of Commerce (KvK) under number 91218934, VAT number NL865585052B01.

• Client: any natural or legal person that uses the services or products of Narrowcast.

• Agreement: the agreement between Narrowcast and the Client regarding the provision of services and/or products.

Article 2 – Applicability

2.1. These terms and conditions apply to all offers, agreements, services, and deliveries of Narrowcast, unless agreed otherwise in writing.
2.2. The Client’s general terms and conditions are expressly rejected, unless agreed otherwise in writing.

Article 3 – Services

3.1. Narrowcast provides digital reception solutions and related services.
3.2. Service specifications are agreed in the quotation or the agreement.

Article 4 – Formation of the Agreement

4.1. An agreement is concluded once Narrowcast confirms the Client’s request in writing or by email.

Article 5 – Prices and Payment

5.1. All prices are exclusive of VAT and any additional costs, unless stated otherwise.
5.2. Payment must be made within 14 days of the invoice date, unless agreed otherwise in writing.

Article 6 – Use of the Platform

6.1. The Client receives a non-exclusive, non-transferable right to use the Narrowcast platform.
6.2. The Client is prohibited from using the platform for unlawful or harmful purposes.

Article 7 – Intellectual Property

7.1. All intellectual property rights to the services and products provided by Narrowcast are vested in Wiex Agency B.V. or its licensors.
7.2. The Client is not permitted to reproduce, disclose, or sell any materials or software without prior written permission.

Article 8 – Liability

8.1. Narrowcast is only liable for direct damage that is the direct result of an attributable failure in the performance of the agreement.
8.2. Liability for indirect damage—including consequential damage, lost profits, and loss of data—is excluded.
8.3. Narrowcast’s liability is at all times limited to the amount paid out by its insurer or, if no insurance applies, to the invoice amount of the relevant agreement.

Article 9 – Force Majeure

9.1. Narrowcast is not liable for shortcomings resulting from force majeure, including failures of the internet, infrastructure, or suppliers.

Article 10 – Term and Termination

10.1. Agreements are entered into for the term specified in the quotation or agreement.
10.2. The Client may terminate the agreement subject to one month’s notice.

Article 11 – Privacy and Data Protection

11.1. Narrowcast processes personal data in accordance with applicable privacy legislation (GDPR).
11.2. The Narrowcast Privacy Policy describes how data is processed.

Article 12 – Governing Law and Disputes

12.1. Dutch law applies to all agreements and legal acts of Narrowcast.
12.2. Disputes will be submitted to the competent court in the district where Wiex Agency B.V. is established.
